These Terms & Conditions (“Terms”) govern your use of the website vignpass.eu (the “Website”) and any purchase you make through it. The Website and the VignPass service (“VignPass”, “we”, “us”, “our”) are operated by CIURENIS IT LTD, a company registered in England and Wales (Company No. 16763272), with its registered office at 4 Wye Close, Aylesbury, HP21 9NH, United Kingdom. By placing an order you confirm that you have read, understood and accepted these Terms. If you do not agree, do not use the Website or place an order.

1. Who We Are and What We Do

VignPass is an independent commercial intermediary and reseller of road-usage products. We are not a government authority, a national toll operator, a road administration body, or an agent acting on behalf of any such body, and we are not affiliated with, endorsed by, or sponsored by any of them. We purchase, arrange or facilitate road-usage rights and devices on your behalf and resell them to you as a convenience service.

We offer two distinct categories of product:

• Digital e-vignettes for seven European countries: the Czech Republic, Switzerland, Hungary, Slovenia, Slovakia, Romania and Bulgaria. These vignettes are registered against your vehicle’s number plate and exist only in electronic form. There is no physical sticker and nothing is shipped to you.
• A physical electronic toll-payment device (“Toll Box”), an EETS interoperable transponder enabling toll payment in Italy, France, Spain, Portugal and Croatia. This is a tangible good delivered to you by post or courier (e.g. DHL).

Because national e-vignette and toll systems can normally be purchased directly from the relevant authority, often at the official price only, you are not obliged to use VignPass. You choose to use us for the convenience, consolidated checkout and support we provide, and you pay a service fee for that convenience (see Section 3).

2. Pricing and Service Fee

The total price you pay through VignPass consists of two clearly identifiable components:

1. the official cost of the vignette or toll product as set by the relevant national authority or toll operator; plus
2. the VignPass service fee, our remuneration for processing, arranging and supporting your order.

Both components, along with any applicable taxes and (for the Toll Box) shipping charges, are itemised and shown to you before you confirm and pay. Prices are displayed in the currency indicated at checkout. We may change our prices at any time, but changes do not affect orders already confirmed.

3. How to Order

1. Select your product, destination country and, where applicable, the validity period and start date.
2. Enter the required information accurately. For e-vignettes this includes your vehicle registration (number plate), country of registration and, where requested, the vehicle category and emission class. For the Toll Box this includes your delivery address.
3. Review the itemised price (official cost + service fee + any taxes/shipping).
4. Provide payment details and complete payment through our third-party PCI-DSS certified payment service provider. We do not store or process your full card data ourselves.
5. After successful payment you receive an order confirmation by email. For e-vignettes you additionally receive confirmation of activation in accordance with Section 6.

A contract between you and VignPass is formed when we send you the order confirmation email.

4. Payment

Payment is collected exclusively through our PCI-DSS certified payment service provider. By submitting payment you authorise that provider to charge the total amount shown. We are not liable for declines, holds or delays caused by your bank or card issuer. If a payment fails, your order will not be processed.

5. Right of Withdrawal and Refunds — Two Distinct Regimes

The cancellation rules that apply to your purchase depend entirely on which product you buy. Please read this section carefully, because the two regimes are fundamentally different. The full detail is set out in our separate Refunds & Withdrawal Policy, which forms part of these Terms.

5(a). Digital E-Vignettes — No Right of Withdrawal After Activation

E-vignettes are supplied as digital content that is not delivered on a tangible medium and that must be activated for the relevant authority to register your vehicle. Under Directive 2011/83/EU on consumer rights, Article 16(m) (and the corresponding UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, regulation 37), the statutory 14-day right of withdrawal is lost where performance has begun, with the consumer’s prior express consent and acknowledgement that the right will thereby be lost.

Accordingly, before paying for an e-vignette you must tick a mandatory checkbox confirming that:

• you expressly request immediate activation/processing of the e-vignette; and
• you acknowledge that, once activation has begun, you lose your right of withdrawal and the purchase is non-refundable.

Once an e-vignette has been activated or submitted for registration, no refund is available, including where you later realise the product is not needed, where you entered incorrect vehicle details (see Section 7), or where you change your mind. If you wish to preserve your withdrawal right, do not consent to immediate activation — but note that the e-vignette cannot be issued until activation begins.

5(b). Physical Toll Box — Full 14-Day Right of Withdrawal

The Toll Box is a physical good and is treated as such. You have a full statutory right to withdraw within 14 days under Directive 2011/83/EU and the UK Consumer Contracts Regulations 2013, without giving any reason, calculated from the day you (or a third party you nominate) take physical possession of the device. To exercise this right and obtain a full refund, the device must be:

• unused and not activated for any toll transaction; and
• returned complete, with all packaging, accessories, mounting components and documentation, in resaleable condition.

If the device has been used (i.e. any toll transaction has been recorded) or is returned incomplete or damaged through misuse, we may decline the refund or reduce it to reflect the diminished value, as permitted by law.

6. Activation and Country-Specific Rules

Activation behaviour varies by country and you are responsible for selecting the correct validity period and start date. The principal differences are:

• Switzerland (CH) and Czech Republic (CZ): annual/period products are issued for fixed terms; the Swiss annual vignette in particular follows the calendar-year model set by the authority.
• Hungary (HU): the e-vignette is typically activated and valid effectively immediately upon registration.
• Slovakia (SK), Romania (RO), Slovenia (SI) and Bulgaria (BG): validity begins on the start date you select at checkout. Choose this date carefully; once the vignette is activated for the selected period it cannot be changed or refunded.

You must ensure the validity period you purchase actually covers your intended travel dates and that the product matches your vehicle category. We are not responsible for fines or penalties resulting from travel outside the purchased validity period or with an incorrectly categorised vehicle.

7. Your Responsibilities

You are solely responsible for:

• entering your vehicle registration number and all vehicle data correctly and completely;
• selecting the correct country, product, vehicle category, validity period and start date;
• verifying, after receiving confirmation, that the details registered match your vehicle;
• ensuring the e-vignette or Toll Box is valid and active before you travel; and
• complying with all local traffic and tolling laws.

Because the relevant authority registers the vignette against the exact data you supply, an error in the number plate may render the vignette ineffective and expose you to penalties. VignPass cannot correct or refund an activated e-vignette purchased with incorrect details. Please double-check before confirming.

8. Limitation of Liability

To the fullest extent permitted by law, and without excluding or limiting any liability that cannot lawfully be excluded (including liability for death or personal injury caused by negligence, for fraud, or your non-excludable statutory consumer rights):

• VignPass acts as an intermediary and is not liable for the acts, decisions, systems, outages or enforcement actions of any national authority or toll operator;
• we are not liable for fines, penalties, surcharges or losses arising from incorrect data you supplied, an unsuitable product you selected, travel outside the purchased validity, or your failure to verify your purchase;
• we are not liable for delays or failures caused by third parties outside our reasonable control, including the payment service provider, courier services, road operators or hosting infrastructure;
• our total aggregate liability in respect of any order, save where the law provides otherwise, shall not exceed the total amount you paid for that order.

Nothing in these Terms affects your mandatory rights as a consumer under EU or UK law.

9. Changes to These Terms

We may amend these Terms from time to time, for example to reflect changes in law, authority requirements or our services. The version applicable to your order is the version in force at the time you place that order. We encourage you to review the current Terms before each purchase.

10. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. This choice of law does not deprive you, as a consumer resident in the EU, of the protection afforded by mandatory provisions of the law of your country of habitual residence. Disputes may be brought before the courts of England and Wales; EU-resident consumers may also be entitled to bring proceedings in the courts of their place of residence.
